Board Composition
The Board of Directors consists of individuals with diverse expertise, including healthcare, finance, legal, nonprofit management, and community development. The board is structured to promote transparency, accountability, and effective decision-making.
Board Members
The number of Directors which shall constitute the entire Board shall be fixed, as determined by resolution of the Board from time to time, at a
number between three (3) and nine (9); but in no event shall the number of Directors be less than three (3) members.
Members serve a term of one (1) year, with eligibility for reappointment annually.
The board includes officers, committee chairs, and general members, each contributing to the organization’s success.
Board Leadership and Roles
The board is led by elected officers responsible for guiding the organization’s operations and governance.
1. Chairperson
Provides leadership and direction to the board.
Presides over board meetings and ensures adherence to governance policies.
Represents the organization in official capacities.
2. Vice-Chairperson
Assists the Chairperson in leadership responsibilities.
Acts in the Chairperson’s absence.
3. Secretary / Assistant Secretary
Maintains board records, minutes, and governance documents.
Ensures compliance with reporting requirements.
4. Treasurer / Assistant Treasurer
Oversees financial management, budgeting, and reporting.
Ensures financial accountability and transparency.
5. Board Members
Participate in strategic decision-making.
Serve on committees and support fundraising, outreach, and governance efforts.
Board Committees
The board operates through specialized committees that focus on key areas of governance and operations. These may include:
Finance Committee – Ensures proper financial oversight and transparency.
Governance & Compliance Committee – Reviews policies, bylaws, and regulatory compliance.
Fundraising & Strategic Planning Committee – Leads donor engagement and fundraising efforts.
IT, Communications & Marketing Committee – Supports healthcare initiatives and partnerships.
Board Meetings and Decision-Making
The Board of Directors meets monthly to review organizational progress and set strategic goals.
Special meetings may be called as needed.
At any meeting of the Board, a majority of the Directors in office shall be necessary and sufficient to constitute a quorum for the transaction of all business, provided, however, that in no event shall a quorum consist of fewer than the greater of one-third (1/3) of the number of Directors in office or two (2) Directors.
